Terms of Service
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and imgeo (“Company,” “we,” “us,” or “our”), governing your access to and use of the imgeo platform, including the website located at www.imgeo.club, all associated applications, APIs, and services (collectively, the “Service”). By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service immediately.
1. Nature of the Service
imgeo is an AI-powered image generation platform that enables users to create visual content through state-of-the-art generative artificial intelligence models. The Service provides access to multiple AI models, including but not limited to Flux, Stable Diffusion, Imagen, and other third-party models hosted via external inference providers. The Service operates on a credit-based system whereby users purchase credits and expend them to generate images.
2. Eligibility
You must be at least 16 years of age to use the Service. By creating an account, you represent and warrant that you meet this age requirement, that the information you provide is accurate and complete, and that you possess the legal capacity to enter into a binding agreement. If you are accessing the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Account Registration and Security
Access to the Service requires authentication through a supported third-party identity provider (currently Google OAuth). You are solely responsible for maintaining the confidentiality and security of your account credentials. You agree to notify us immediately of any unauthorized access to or use of your account. We reserve the right to suspend or terminate any account that we reasonably believe has been compromised or is being used in violation of these Terms.
4. Credits, Pricing, and Payments
4.1 Credit System
The Service operates on a prepaid credit model. Credits are consumed each time you initiate an image generation request. The number of credits consumed per generation varies depending on the AI model selected, the output dimensions, and the number of images requested. Credit costs for each model are displayed within the Service prior to generation.
4.2 Purchases
Credits may be purchased through the pricing page via our third-party payment processor (Creem). All prices are denominated in United States Dollars (USD) and are inclusive of the credit quantities specified at the time of purchase. By completing a purchase, you authorize the applicable payment processor to charge your selected payment method.
4.3 Welcome Bonus
New users receive a complimentary allocation of credits upon account creation. This welcome bonus is provided at our sole discretion and may be modified or discontinued at any time without prior notice.
4.4 No Refunds
All credit purchases are final and non-refundable, except where required by applicable law. Credits have no monetary value, cannot be transferred, sold, or exchanged, and expire upon account termination. We reserve the right to modify credit pricing at any time; however, any such changes will not affect credits already purchased.
5. Acceptable Use
You agree to use the Service solely for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. The following activities are expressly prohibited:
- Generating, distributing, or storing content that depicts the sexual exploitation or abuse of minors
- Creating content designed to harass, threaten, defame, or intimidate any individual or group
- Producing content that infringes upon the intellectual property rights, privacy rights, or publicity rights of any third party
- Generating deepfakes or manipulated media intended to deceive, defraud, or mislead
- Attempting to reverse-engineer, decompile, or extract the underlying models, algorithms, or source code of the Service
- Circumventing, disabling, or otherwise interfering with any security, rate-limiting, or access-control features of the Service
- Using automated scripts, bots, or other programmatic means to access the Service beyond any documented API interfaces
- Reselling, sublicensing, or redistributing access to the Service or generated outputs in a manner that competes directly with the Service
We reserve the right to investigate any suspected violations and to take appropriate action, including account suspension or termination, without prior notice or refund.
6. Generated Content and Intellectual Property
6.1 Ownership of Outputs
Subject to your compliance with these Terms and applicable law, you retain ownership of the images you generate through the Service (“Outputs”), to the extent permitted by the intellectual property laws of your jurisdiction. You acknowledge that the legal status of AI-generated content remains an evolving area of law, and we make no representations regarding the copyrightability or protectability of Outputs in any jurisdiction.
6.2 License to imgeo
By using the Service, you grant us a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, and display your prompts and Outputs solely for the purposes of operating, improving, and promoting the Service. This license does not grant us ownership of your content.
6.3 Third-Party Model Terms
The AI models accessible through the Service are provided by third-party vendors and may be subject to their own license agreements, acceptable use policies, or output restrictions. You agree to comply with any such terms as may apply to the specific models you use.
7. Service Availability and Modifications
We strive to maintain continuous availability of the Service; however, we do not guarantee uninterrupted or error-free operation. The Service may be subject to scheduled maintenance, unplanned outages, or performance degradation due to factors beyond our reasonable control. We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. Model availability, generation quality, and processing times may vary and are not guaranteed.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall imgeo, its affiliates, directors, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your access to or use of (or inability to access or use) the Service. Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you have paid to us in the twelve (12) months preceding the event giving rise to the claim.
9. Disclaimer of Warranties
The Service is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory. We expressly disclaim all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will meet your requirements, that the Outputs will be accurate, complete, or suitable for any particular purpose, or that the Service will be free from defects, errors, or security vulnerabilities.
10. Indemnification
You agree to indemnify, defend, and hold harmless imgeo and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any content you submit, generate, or distribute through the Service.
11. Termination
We may suspend or terminate your account and access to the Service at our sole discretion, without prior notice, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the Service ceases immediately, and any unused credits will be forfeited. Provisions of these Terms that by their nature should survive termination — including but not limited to Sections 6, 8, 9, 10, and 13 — shall continue in full force and effect.
12. Modifications to Terms
We reserve the right to amend these Terms at any time. Material changes will be communicated through the Service or via the email address associated with your account. Your continued use of the Service following the effective date of any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved amicably within thirty (30) days, either party may pursue resolution through the competent courts or through binding arbitration, as determined by applicable jurisdiction.
14. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
15. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and imgeo with respect to the subject matter hereof, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
